Why do some deals take longer to close than others
******************
    Why do some deals take longer to close than others?  Handshake is reached which generally means the seller and buyer have reached an agreement on a multiple with a general idea about the recurring monthly revenue as well as a few other issues that might be important to the buyer.  Why isn't the deal closing by the end of the next month?  
    There could be a number of good explanations, but the most common is that the seller's records are less than what the buyer needs to confirm what exactly is being purchased in the deal.  Sellers can and should prepare for this eventuality, not just because it's going to expedite a sales transaction, but because it's best business practices as well.  All the things that a buyer is interested in reviewing are things that a seller should have prepared; things that the seller uses in everyday operation of the business.  
    I don't know if clients who call about selling are evasive, untrusting, don't want to be less than precise, but too many can't answer simple questions that I think every business owner should know, all the time, not just when forced to figure it out. Here are a few items I think you need to have a constant handle on:
    number of accounts and the mix between residential and commercial
    types of systems; type of equipment
    if there are secured liens
    if taxes are up to date
    if there are agreements restricting right to sell or other impediments to selling or operating
    current accounts receivable ledger
    current accounts payable ledger
    any government loans have to be re-paid
    are all owners on board to sell
    will bank records confirm receipt of accounts receivables
    does seller have current license
    does seller use contracts; who wrote them
    how many technicians are employed? salespeople?  
    You should have most if not all of the above at your fingertips, or be able to generate it in one day.  If you can then you will be prepared to sell.
    Buyer can be the reason deals lag. Sometimes buyers simply aren't that interested in the deal, but more often then are unsure, mistrustful [of seller and everyone else] or simply do not have the financial wherewithal for the deal.  Some lenders have no idea what to look for or why and complicate a deal, to death.  Best to call in Jim Wooster when you need financing for an alarm deal; he knows the deal, and if he lends you know he thinks its a good deal.
