Dealing with customer’s challenges to your agreements is risky business indeed. You don’t want to lose a new or re-signing older customer and yet you don’t want to expose your entire business to massive losses because you were remiss enough to sign an agreement you shouldn’t have signed. Keep in mind that it’s not only your business affected by the contracts you sign; your central station, your subcontractors and your E&O insurance carrier are all depending on your to have a proper alarm industry contract in place. Even if you have the K&K Standard Form Agreements, that you keep updated, modifying those contracts to suit the whims of your customers requires knowledgeable legal review. You need legal advice to modify the alarm agreements, and this is especially the case because it’s the most important provisions that the customer typically challenge. There is no quick legal course I or anyone else can give you so that you can do the negotiations and re-drafting on your own. An acceptable change in one situation may not be acceptable in another. Legal advice for contract negotiation and review can get expensive as negotiations drag on. 1. When sending customer your contract, if challenges are made, suggest that customer's attorney call me before making the changes. If changes are already made then ask customer if your attorney can talk to customer's attorney and get me the contact information.
2. Send me the contract in WORD - filled out for the deal and the mark-up or separate paper with challenges or additions. I will be bringing the WORD doc up on screen on the zoom call and working out differences with customer's attorney to finalize the contract and any customer required addendum, rider or agreement. What is worse way to approach the above? You acting as in-between between me and customer's attorney; I don't want you setting up schedule and I don't need you on the zoom call [unless I ask you, which is not likely because I only want to deal with legal issues]. I do need to know from you just how important this customer is and how much leeway I have to negotiate. For example, you may tell me, I "have to make the deal" or "not big enough customer to take any risk at all". If I am forced to "give up the ship" or "hang you out to dry" I'll let you know and you will have to decide if the customer is worth the risk. It seems like I am doing 10 to 20 contract negotiations a week, all over the country and with all sorts of customers, from government, large national businesses, schools, to a pesky home owner. Far as I know my track record for successful negotiation is 99.9% [guess I don’t know the ones that get away].
