Get your institutional customer to sign your contract
***********************
    Not all potential customers will sign your contract; we know that.  But most will; even the municipalities, property managers, institutions and largest of corporations.  You need to know who to present your contract and you need to stick with it.  Will there be times you don't get your contract signed?  Yes.  But this should be the exception, not the rule.  
    Here's few perhaps obvious tidbits.  
    You can't present your contract if you don't have one
    You should expect a potential customer to sign your home made or cut and paste contract
    You need to learn now to sell the contract, not just the system or service you are selling
    More and more institutional customers are presenting you with their "vendor" agreement; they will insist on it.  If you're so eager for the work you may sign it and that's the end of the contract phase, not to rear its ugly head until you don't get paid or you get sued. 
    Here's something you need to know:  most, in fact every one of the ones I've negotiated with, will sign your K&K form agreement, with some acceptable [to me and you] changes, and they will permit a few changes to their agreement that I think necessary to protect you from claims, not so much on getting paid though.  How do we get to that place so negotiations can take place?  Well it's happening daily with Concierge Clients taking advantage of my services to negotiate these contracts directly with the institutional attorney.  Concierge Clients get a free half hour each month, and those that use the Plan are saving their deals and getting their contracts signed.  This Concierge Client benefits makes the Concierge Program worth it, and there are many other benefits.  
     The institutional vendor agreements all share a few things in common, and it's these issues I focus on and get modified.  You are asked to indemnify the customer.  This is an open invitation to potentially destroy your business and it must be modified.  You will be require to name the customer as an additional insured.  You need to be careful this because you don't want your insurance to be the primary coverage for loss for your customer.  
    You need to get your contract signed or attached and incorporated by reference in the Vendor agreement.  While you can generally accept a Vendor agreement when you are just - and only - installing, you need your K&K contract when providing "after-install" services, simple as that.      Stop taking chances and giving up or in to the customers insisting on the Vendor agreement and not signing yours.  Join the Concierge Program and get the K&K team behind you for peace of mind and effective legal representation.
