Honeywell Rider for Notifier

            Honeywell Notifier is asking that we get its agreement signed by any of our end users that use the new Notifier Honeywell Connected Life Safety Services (CLSS).  We are getting ready to sign up a large manufacturing end user to use the Honeywell CLSS app so the end user will be able to get live feedback from the Notifier fire alarm system installed in their plant.  This service does not impact our traditional monitoring service, runs simultaneously.  Will having our end user sign the attached agreement as well as our standard services agreement impact or negate any language in our main contract?  Specifically where it refers to a limitation of liability of $10k in the Honeywell agreement.

            We have this with alarm.com as well.  The Honeywell contract is for Honeywell, not you; same with alarm.com.  K&K has a Rider which is to be used with your All in One Agreement.  The Rider basically states that the additional contract is between the end user and Honeywell, but that the All in One governs the contractual relationship between end user and you.  
            The Honeywell Rider and the alarm.com Rider are included in the sale contracts, so be sure to get them when getting the updated current All in One Agreements

When your central station is a total douche

            After many years I am trying to move my accounts to another central station.  I did let them know what accounts I was moving and that I had to leave a number of accounts for a period of time.  My concern is what happens to any accounts that don’t move over during the switch?  The central station is being a total douche, which I was warned about when I started to look at moving.  What liability am I opening myself up to?

            No matter how loyal you’ve been to your central station, no matter how long you’ve been there, when you want to leave it’s not going to go unnoticed and it can get particularly nasty.  The worst part of it is that it’s your fault.  Yes, your fault.  Why, because you should have anticipated that one day this might happen and your agreement with the central station should address the anticipated scenario in detail and satisfactorily.  If you used the Standard Form Rider to Central Station Dealer Agreement you wouldn’t be in this uncertain mess, though even that agreement can’t guard against an unreasonable and difficult central station.  We’ll get to that in a moment.
            Central stations require their dealers to sign a Dealer Agreement.  That agreement rarely covers switching out of the central station, and when it does the provisions are typically onerous Right to Buy or Right of First Refusal or penalty provisions.  Not only should you not agree to such provisions, you should look elsewhere for your central station services.
            All good things must come to an end, which includes your relationship with your central station.  Since the end of relationship is inevitable the Dealer Agreement needs to deal with it.  The Rider does; get it and use it.
            You should use a central station listed on The Alarm Exchange.  They are, more or less, dealer friendly and reasonable.  Those that prove to be not are removed from the listings.  It’s not a guarantee, but one extra layer of protection.
