Ken,
     You and I have had this discussion in the past. The K&K Central Station Rider is a document that finds a tighter balance between the dealer and the contract monitoring company.
While USA's base contract, in my opinion goes 99% of the way you are trying to reach, I do believe that there are contracts out there issued from USA's competitors that are nowhere close to balanced. I have seen first right of refusal clauses amongst others that strip the value out of the dealer.
    Founded 44 years ago USA has been dedicated to maintaining the confidential and collective goal of growing the business of both the dealer and the central station, while advocating for redundancy, transparency and providing the newest technology only after rigorous testing. 
    USA has also a 44 year history of making available deep discounts on transmission equipment.  Starting in 1982 USA was giving away Ademco and Napco slave communicators, then expanded to discounted control/communicators to help the dealer expand their RMR segment in their business. In the late 1980's we started the same approach with Seaboard Long Range radios and then in 2006 morphed to two-way supervised AES wireless Mesh systems where we currently are operating systems in over 9 states.
    Continuing in this direction in 2017 we started our very successful relationship with M2M cellular transmitters by giving both the mini and fire transmitters away which still continues today.
     But I digress, the point here is that USA does not compete against its dealers and as a partner in mutual success we accept the K&K Rider as you wrote it.

    USA Central has grown into a nationwide central station; no doubt it would be even bigger if Bart stopped practicing law.  But I digress.
    The K&K Rider is essential for at least one point, the indemnity issue.  I will not waver on it and I don’t have to because the largest and most reputable central stations in the country accept it and attach it to their Central Station Dealer Agreement; they are listed on The Alarm Exchange in preferred status in bold in the Central Station category.  
    Simply put, you cannot put your entire company at risk for losses beyond your insurance, especially since the primary if not only beneficiary of taking that exposure is your central station’s E&O carrier.  Central stations that don’t agree to limit your indemnity exposure don’t seem to understand that if you have to respond to a substantial uninsured claim most of you will be out of business.  As long as the claim is within your insurance and the central station’s insurance, there is no reason to put you at risk.
    Take the time to review your central station Dealer Agreement.  If already in contract, try to change it; if not in contract yet be sure to insist on the K&K Rider to the Central Station Dealer Agreement, and it should be attached to the Dealer Agreement.  Don’t let your central station tell you that it has edited its Dealer Agreement to make the changes in the Rider.  That means you, or I, have to review that Dealer Agreement with careful detail, an unnecessary expense when the Rider can be attached and deal with the issues that continuously arise in the dealer – central station relationship.
