Why use standard form agreements

Why use standard form agreements

            I know it’s important to you to feel that you offer something different, unique and special.  Your business is not like all the others, even most of them.  And over the years you’ve developed ways of doing business that works for you.  There’s nothing run of the mill about you or your business.  
            I got it.  I respect it.  Maybe even you’re right.  But, you still need a Standard Form Agreement.  What makes the form agreements “standard”, and why do you need them?
            Standard can be defined as “accepted as normal or average”.  The standard form is an authoritative form that implies a model or pattern for guidance, by comparison with which the quantity, excellence, correctness of other forms may be determined.  The Kirschenbaum Contracts ™ are the “norm” since, for no other reason, they are used by more alarm companies than any other form.  
            Early in my career I had a lawsuit where the alarm contract I had prepared was in issue.  The judge referred to the contract as a “standard” form, which to him undoubtedly meant it looked very much like most if not all other alarm company contracts.  Importantly, the judge enforced it, and I think the judge was persuaded to enforce that contract because it was a “standard” contract. 
            You should be using “standard” from agreements for lots of reasons.  The forms are recognizable and accepted by central stations and other subcontractors who have to rely on your contract with your subscriber, with insurance companies who insure you and by prospective buyers of your accounts when you’re ready to sell.  These are sufficient reasons to use the form contracts.
            When negotiating with customers you will be able to honestly represent that your contract form is a standard industry form.  
            If your contract is in issue in litigation you will be able to make the same representation to the judge; it’s a standard industry agreement.  That could be important if a judge is ruling on whether a provision is enforceable.  There’s a good chance that another judge has had occasion to rule on the same provision.
            So there are plenty of good reasons to use the Standardized form contracts.  There are no reasons, good or bad, not to.
