Ken,
            I would like your advice as how to go forward with selling my interest in the company to my partner.  We are wondering about the best way to do this.  If you can, please let me know what are the steps to begin working with you and getting this resolved, as well as what other information would you need from me.
            We have a signed shareholder agreement between us, which your office prepared for us.  Our accountant will look into the gifting limits, tax liability and tax burdens for the ownership restructuring.
            How do you value a company that has minimal accounts?
            We do have the All in One contracts that our customers sign.
           The central station that we use agreed to use your contract for monitoring instead of theirs.  They are also listed in The Alarm Exchange.  It is added as additional insured along with  alarm.com and  alarm.net.

            From sound of things, so far you’ve done everything right. Shareholders agreement, proper contracts, insurance coverage.  Now it should be easy to transition your share to your fellow shareholder.  In fact the shareholder’s agreement has all the specifics to govern the transaction.  Of course I will guide you through the process.  So engaging K&K is your first step.

            If you’ll be at ISC be sure to stop at the Honeywell both and ask about the issues raised in the video.  
            If the assessment by Jeff is accurate then you need to be careful about using equipment that may be compromised in unintended ways.  Maybe there’s a better product if you have the choice.
