One time use of Fire Protection All in One
****************************
Ken,
We have your latest (and greatest) fire suppression agreement [Fire Protection All in One].  The customer wants us to just do a test of the system.  The building was or is about to be sold but an existing violation needs to be cleared.
This will be a one-time test of the system; do we write it under Schedule of Sale and Installation since it will not be ongoing?
Can we delete the sections like fire extinguishers and fire pump?
  Thank you,
Jeff

Fire Protection [suppression] is a different business than fire alarm; different licenses, different equipment and services, different risks, different contract.  But the Fire Protection All in One does share many characteristics with the Fire All in One.  The well written protective provisions found in all K&K Standard Form Agreements and the “all in one” provisions which cover design, sale [or lease] installation, inspection, repair and monitoring, and whatever else you’re providing.  Not all parts of the contract will be used for all transactions, and that is certainly the case here.
Only a few “alarm companies” also do “fire protection” work, which includes sprinklers, Ansel systems, extinguishers and bunch of other systems.  Alarm companies are familiar with some because they monitor these systems with alarms.  But the difference in trade is quite different and can be summed up with “detection” v “detect and extinguish fires”.  The alarm is designed to notify people in the building that they need to leave and notify first responders.  Fire protection is designed to give people more time to escape and minimizing damage to the building.
The Fire All in One and Fire Protection All in One have similar design.  The fire prevention systems are detailed in the agreement; the fire alarm contract refers to plans, specification and code.  Both contracts have the Schedule of Equipment and Services
You don’t need to obliterate the contract form because you are using only parts of it.  The contracts are designed by check boxes for services included, not excluded.  You can strike provisions you don’t think relevant to your transaction, but it shouldn’t be necessary.
You need to be careful, precise, in what you are doing.  You have a request for inspection.  You already know of a violation or problem.  Therefore you are not likely limiting your service to an inspection; you will be performing a repair.  The system will be fully operational when you are done.  There won’t be working “except for”, because you will be repairing it.  Thus you are using not only the Inspection provision but the “per call” Repair Service provision.  You will be checking those two boxes.  You can also make your limited engagement noted in the Schedule of Equipment of Services, in which you would probably only state, Inspection and necessary repairs as approved by the customer, in advance”.  Get that approval in advance and if I were you I’d get payment in advance too unless the new owner is signing a new K&K contract for the services.
