Mr. Kirschenbaum,
I have two questions. Are we under any obligation to notify our customers when we increase the monitoring rate? We have been writing the notification on each invoice and even though we have not had a rate increase in 5 years it seems that the only ones who call to complain are the ones that have the notification on the invoice. Other invoices that did not include the notification have been met with few, if any complaints because the increase is minimal (less than the 9% your contract allows) and most people just pay it.
The second question involves selling my accounts. We use your standard form contract and when we assign these to the purchaser they will move the monitoring out of state. I have no doubt that this will create much animosity and I wouldn't put it past some of our clients to threaten to sue or even try to sue us. Why? Because for years we have hammered home the point that we are local, with local monitoring and local service and that has been a selling point for us for a very long time. Is there any real danger of that happening? I realize that just about anyone can sue anybody for anything and in todays world I actually do expect this to happen. Your thoughts on this please.

The Standard Form Contracts all share common provisions. Other than the Sales contract, all Standard forms are designed to encourage and charge RMR. They also provide for increases in the annual charge for RMR. The provision is drafted to permit increases up to 9% per annum and the subscriber agrees to pay that increase. No notice is necessary and the subscriber is not permitted to terminate the contract because of the increase. You're not required to increase the charge, just permitted to. Using this provision in the Standard Form Contract you don't have the notice problem you mention above.
Your marketing strategy promoting your local central station may raise some issues with some subscribers, but more likely your letter to your subscribers after the sale will explain the tremendous advantages your subscribers will now have because of your "merger" or sale to another company who is going to be able to provide all the services you did and more.
Alarm contracts are assignable and there's not much your subscriber can do about it, legally. Because many buyers want to see an assignment clause in the contract the Standard Form Contracts have an assignment provision. Unless you have included a provision prohibiting assignment, or your advertising promotion assures no assignment, you are free to subcontract services or assign the contract.
Incidentally, when you assign the contract it doesn't get you out of your contractual duty, unless your contract with the subscriber provides that upon such assignment you, the assignor, are relieved of further duty under the contract, which the Standard Form Contracts do provide for.
