          My office is involved in the buy-sell deals every day and it is just crazy that this indemnity issue keeps coming up and sometimes kills a deal. How hard is it to understand that E&O coverage is occurrence based, that a buyer will have insurance for the accounts as of closing and it costs nothing to add the seller as an additional insured for that period. Why would a buyer say to a seller who is selling and closing its alarm business that the seller needs to be “responsible” and to “indemnify” the buyer if a claim arises post-closing and the allegation is that a mistake was made sometime pre-closing? That means the seller needs to keep insurance, perhaps for years.
          Hold your ground on these deals, that’s my advice. And engage K&K to handle your sell or buy deal. We deal with the issues important to you in that transaction on a daily basis, and not just in transactional matters but in litigation situations where the issues actually do come up.
