Ken,
            We want to thank you again for the opportunity to present to your subscribers through the Financing for the Alarm Industry webinar series you hosted a few weeks ago.  We have received many inquiries based on those webinars and we want to pass on a few of the topics that have come up frequently.
            The first of those is getting pre-qualified for a loan.  Several dealers have approached us because they would like to grow by making acquisitions, but they are not sure how much money they can borrow.  As a result, they don’t know how big the companies they seek for acquisition should be.  In addition, they don’t want to spend a lot of time negotiating with a seller before they know they have the financing lined up.  
            As a general rule of thumb, we recommend that dealers who are looking to make acquisitions focus on sellers who are smaller, or at most the same size, as they are.  This is optimal from a financing standpoint in order to keep the debt leverage from getting too high, but it is also optimal from an operational standpoint.  It would be a challenge for any company to more than double their size overnight through an acquisition.
            And as for the pre-qualification, the smoothest course is to engage with their lender (hopefully AFS) as early as possible when starting to look for acquisitions.  We’ll look at the dealer’s existing assets, debt and cash flow, and with a fairly short list of questions we can help them narrow the budget and size range for the company to be acquired.  We understand that the company’s financial statements might not be completely up to date, but we can also assist with that process.  And we can help by tapping into our network to uncover some possible sellers.
