Barry Epstein [see his info in The Alarm Exchange] mentioned Letter of Intent as part of the process [March 7, 2013 article] and I commented that cautioned against executing a Letter of Intent.  My reasoning was " Getting back to a letter of intent - that may be appropriate for very large deals, but for the average deal, under $5 million, I just don't see the need for it.  May as well work out the contract terms and get it signed.  Most likely the buyer has signed a confidentiality agreement and done its investigation to its satisfaction.  Guess what, a lot of the due diligence can be done after the contract is signed because the contract is going to have lots of representation and warranties; the seller is going to have to comply with all of them and the buyer is going to be able to do plenty of investigation to confirm those representations and warranties before money changes hands."

Well I am about to take a lot of heat for that position, including from a lawyer in my own firm, Dennis Stern.  Here are a few comments that bash me on this issue.  I'm too stubborn to admit error, at least on this one.  There are times a Letter of Intent may be appropriate but I'd rather get to the contract.  It's not that complicated, but it could be.

    I have been brokering alarm deals up in Canada for more than 15 years. I want to take issue with your recent comments about there being no need for a Letter of Intent (LOI) in doing alarm deals. Not only do I disagree with you but the deal path you suggest in your comments is not the conventional path I see on alarm deals and I think a tricky path in itself. A Letter of Intent is in fact a very useful document in the process of selling any company including an alarm company. Properly done a LOI lays out the broad terms of the deal in not too much detail and gets both buyer and seller on the same page. To your point that signing a LOI can be dangerous, that is only the case if the LOI is binding which in most cases is not the case in my experience. Most Letters of Intent are non-binding but once signed do a couple of other important things for the deal aside from getting broad agreement on the terms of the deal. First it allows the Buyer to begin their due diligence process. Doing due diligence after a deal is closed seems to me asking for trouble.  Secondly a signed LOI usually stops the Seller from continuing to negotiate with other buyers for a set period of time. This is important to the Buyer that has signed the LOI. While the due diligence process is going on, I always think it smart for the Buyer to begin to draft the final purchase and sale agreement using the terms of the LOI. Getting all the words and terms in this document right for both parties takes time; so it is good to start drafting it early.

    You always give good advice.  But we know if you talk to 5 Attorneys and 5 Business Brokers that know the Alarm-Security Industry, you can get a varied amount of advice.  If my Interested Buyer is not one of the “Top Twenty”, then yes I must have good solid financials before I will tell them who the Seller is once they sign a "CONFIDENTIALITY" agreement. Once they have proven their ability to go to a settlement, they must give me a “NON-BINDING” Letter of Intent.  This LOI is non-Binding to the extent that there may be a binding clause that says the buyer for 20 days will not enter a negation with another buyer.  At the beginning of any negotiation or offer, the offer will be based on facts and assets.  We need and want a Non-Binding offer up front.  Now the Buyers know what the offer can or should look like, and can make the decision does he or she want to move forward with the due diligent.  During this process, the buyer is looking for items that may reduce the value of the original offer.  The right Business Broker should be showing the Buyer why they should be paying more, this should all be done before you start a formal Contract.  I want my Seller to be real comfortable before he starts spending a lot on legal and accounting fees.  You do need to talk with Ken or an experienced Alarm-Security industry Attorney before you sign anything, including a Brokers Listing agreement.

    A letter of intent is a very accepted practice in the buying and selling of companies and is a good idea from both the buyer's and  seller's perspective; first of, not sure why anyone talks about 6 month to a year period for due diligence- the usual time frame (unless it is a very large deal) is usually a week or two of gathering information by buyer and then a short period of time thereafter to digest the information and possibly ask for more information if something is missing or a question has arisen- the entire process for most transactions is about 3-4 months (unless problems arise because of what is found in due diligence), except for small purchases of just accounts.

    Neither party should undertake the due diligence process until they do  have a letter of intent in place, which is always a non-binding letter (have never seen a binding one), so by its terms makes clear that it is not a binding agreement; the more sophisticated seller's who want to properly protect their major asset (which the company in many cases is) will hire counsel to draft/negotiate the letter of intent; because even thought the letter is non-binding, as I mentioned in my Webinar presentation, [you can see and hear Dennis' Webinar at http://youtu.be/GUrec8oPhXU ] once its down on paper, though not legally binding, psychologically everyone finds it hard to  move off of the terms set forth on the basis we "agreed" to that; but what the letter does do and very effectively, it lays out the road map for the transaction, which in turn is what the business section (clearly one of the more important sections of the agreement) of the sale/purchase agreement will reflect; the process should be non-binding letter of intent, followed by due diligence and while the due diligence is in process, the parties are negotiating the definitive agreement; by the time that is done, due diligence will have been wrapped up awhile back and the parties are ready to sign and close simultaneously; that simultaneous factor allows everyone to be on the same page not only contractually on the date of signing, but more importantly, the parties will have out together a schedule which shows the purchase price calculation- if they don't agree on how that is arrived at (i.e. we don't think $30,000 of RMR is on acceptable contracts) then there is no closing if the parties can't work out the issue- last thing anyone wants is to go through the process and find out they are locked into a contract which is being interpreted differently by the parties and results in a diminution of the expected purchase price or other issues, and instead of a smooth closing you wind up in an expensive and extensive litigation-

    Once you sign the contract its to late to do due diligence; also, due diligence helps the seller because it focuses them on issues they may not have been aware of and allows them to take corrective actions before signing a contract and before the issue becoming a post-closing litigation matter; also, going through the process allows the parties to get to know each other which can be important in getting a deal done that is a win-win for both the seller-the buyer- and the seller's former employees; signing a contract before due diligence (which would require a standstill provision and a subsequent closing date after due diligence is done) doesn't move the needle on timing and has the negative of locking the parties in before either understands the others business; that means that the definitive agreement requires a break-up fee, which is a very touch item to negotiate, but the seller certainly doesn't want to get locked into a contract which then might not close and not be compensated for the effort and for the fact of having taken the property of the market for an extended period of time.

    It is definitely important to insure that the buyer has the financial capability to do the deal; but the way to ascertain that as best as possible, is to do some due diligence on the buyer, including get bank references and even talking to their bankers/equity backers; not sure that seeing a bank statement answers the question as there is nothing to say the funds wont be transferred out the day after the date of the statement; part of the confidence in the buyer's ability to perform will show up just in the due diligence process; do they have enough staff to do the reviews, are they aggressively pursuing the due diligence, are they asking for things they need or just stalling the process and if so why.

    The bottom line is a transaction is a PROCESS that takes time and effort on both sides; if you want to protect yourself in the sale of what is probably your largest assets and one you have built up over a period of time, don't get frugal and save a couple of bucks by not retaining counsel well versed in transactional matters, such as our Firm and don"t try to short cut the process either- to get to the pot of gold at the end of the rainbow may take a bit of time, but the end result, if the PROCESS is properly managed will be worth it

Your clients need to understand that, if the tape establishes the essence of the crime, they must be prepared to produce credible witnesses on the chain of custody issue.  Same thing on the drug chain of custody---even in administrative hearings.  In NY, those chain of custody questions typically require 3 witnesses--the tech in the accession lab, the director in the analyzing lab and the medical officer to testify as to the scientific methodology.  That's a lot of high powered, time consuming testimony to establish that a worker  tested positive for marijuana on a random drug test. A surveillance video chain would include individuals who can attest that the equipment is performing properly, how it is designed to work (continuous loop, intermittent, etc.) and that the tape is complete, rather than spliced together.

The biggest problem I have found with those videos is that businesses try to cheap it out with the security companies and also do not maintain the equipment properly.  When there are power failures such that the date/time are inaccurately recorded, the tape will serve the intended intention.  If the equipment dates to the year of the flood and simply shows shadowy, black and white figures, then the defendant cannot be identified.  

I agree with Ken.  Subscribers need to understand how it operates and their role in creating records that will be admissible in courts of law.
