Indemnity – when is too much demanded?

Ken
I’m about to sign a subcontract agreement presented to me by the Contractor.  I see an indemnity provision that doesn’t look like what I am use to.  Can you review and advise?

You don’t recognize the Indemnity provision because it’s overly broad and, quite honestly, ridiculous; you shouldn’t sign this contract form without modifying this indemnity provision.
The indemnity provision requires indemnity for all of your work, services and systems.  You would be on the hook to indemnify not only for damage arising during your installation or service while on the premises, but for loss claimed to be caused by alarm failure.
Rather than limit your exposure under the indemnity to your insurance coverage this indemnity provision extends beyond your insurance coverage.  You shouldn’t sign an indemnity that exposes you beyond your insurance coverage.  Be sure to name anyone you indemnify as an additional insured on your liability policy.
