    The Fire All in One has been updated to include BDA systems.  This is in addition to the recent update adding Area of Refuge System.   Both of these systems require that the corresponding box be checked if the system is included in the Fire All in One.  A BDA system is an In-Building Wireless Communications Systems for Emergency Responders, Signal Boosters and Bi-Directional Amplifiers (BDA), which systems require testing and service.  You will include that system in the Schedule of Equipment and Services to determine which of the services are included:  wireless system design, surveys, radio equipment installation, testing, coordination and permits with AHJ.  Remember - we offer free updates within 6 months of purchase; half price if within one year.

    As many of your readers know, Section 179 of the IRS Code allows companies to expense the cost of certain capital purchases subject to certain restrictions.  This is as opposed to depreciating these purchases over as long as 39 years.   The Senate version of the Tax Bill specifically calls out Section 179 expensing for commercial fire and security alarm systems placed into service.  This would leave no doubt that they are qualified purchases and allow the buyers of security and fire systems to expense them in the year of purchase.  I believe that this will stimulate spending on these services and help our industry.

    By the time this article is circulated we may have a new tax law.  Be sure to check with a tax expert to figure out what you can do to reduce and minimize your tax liability.
Expensing the cost of the alarm system in year of installation will be a welcome tax advantage for subscribers.  Rather than expense an installation you could also offer to lease the system to the subscriber.  Lease payments can be expensed as paid.

    Valuation of your company is the easy part.  I don't think you can structure a deal based on value of the combining companies.  That may turn out to be a very short sighted approach.  One company may bring something to the table that permits the combined operation to grow significantly.  Valuation is important for sure.  It may in fact be a good predictor or what each company may produce in the future.         But you're essentially getting married, and if you've been married, you know that a lot of factors come into play.
