Title: All You Need To Know About Preparing Your Company For A Sale
When: February 7, 2017 at 12 noon EST

DO YOU NEED SS NUMBER ON CONTRACT
**************************
Ken
We have encountered difficulties getting our subscriber’s to put their social security numbers on the contracts.  How important is it to get that?  What about the commercial tax ID number on commercial installations?
Regards,
Sally S

RESPONSE
**************************
The social security number on the All in One Agreements is not necessary.  It does however serve two purposes.

  • For security measures it is a reliable way to identify your subscriber
  • If you end up suing your subscriber the social security number will be helpful when you have to collect on the judgment

You do have to be careful with the social security number, keeping it confidential and used only for legitimate purposes.
You can also delete the provision on the contract or just not ask for it; failure to add the number will not affect enforcement of the contract.

WHEN TO USE ELECTRONIC DISCLOSURE AND CONSENT FORM
**************************
Ken
The electronic disclosure & consent form should be used with every work order, correct?  Not just with new contracts?
Regards,
Sally
**************************
RESPONSE
**************************
If you use electronic execution of the contract you should have the Disclosure and Consent to Electronic Communication precede the contract.  No reason not to use it every time, but you only need get it signed once when getting multiple documents signed electronically at the same time.

ADDITIONAL PROVISIONS
****************************
Ken
Seems everyone is asking for "clauses."  Clauses for all the needs of the items we run into all the time, too.  In (many) years from the past I remember ADT having a book of clauses, and going back to those days days, so did National Guardian.  Where are those "clauses?"  I'd bet they are just as important now, and probably even more so than ever.
Not only that (clauses), but a separate "addendum."  All the addendum was, was an additional blank contract that "attached" to the original contract and became a part of it.  Note the clauses were written by the corporate lawyers and carried a lot of protection specifically for their need in respect to the application.
Anybody? (well, what do you think folks)?
Marty

Response

Properly worded alarm / security contracts should contain many provisions, so many that there isn't any room for provisions that are not necessary, no matter how well intended.  We tried disparately to keep Standard Form Agreements to front and back.  That is no possible for the All in One Agreements.  It's not even practical for an alarm contract that covers only a single or limited services [which is don't recommend anyway - get the All in One Agreements].  Like plenty of other attorneys I could certainly find additional provisions to add to the alarm contracts.  I could probably through in enough legalese and window dressing to pad that contract form up to 10 pages; a bargain at $5000.  Thanks but I'll pass, and so should you.  The Standard Form Agreements contain what you need, almost all of what you want and as much non-essential provisions most often asked for we could comfortably fit in.  It's not broken so don't try fixing it [the contracts].
