To the California Acquirer – Ken may have been a little lazy in explaining why you are now stuck with your prior counsel, and also reluctant to provide an assessment for you because he likely assumes you agreed to some terrible forum provision requiring you to litigate any open issues in a forum we can’t assist you in. Your prior counsel should be familiar with the protections you hopefully have in your contract. Was there a withhold or guarantee period to protect from attrition? Do you have a non-solicit? Evaluating your contractual protections is something we can definitely do for you, and advise on your next steps. And we can definitely tell you pretty quickly if you signed terrible documents with limited recourse now.
